Terms of Use & Privilege
Intended users; not legal advice
Veraz is a professional tool for the marketing and investor-relations teams of private fund advisers, and the counsel who advise them. It performs an automated, first-pass screen of marketing materials against the SEC Marketing Rule (Investment Advisers Act Rule 206(4)-1). It does not provide legal advice, and using it does not by itself create an attorney-client relationship. It is a screening aid that can miss issues or flag non-issues; every document must be reviewed and approved by a qualified attorney before it is used or distributed. Veraz assumes the user has the professional background to evaluate its output and route it appropriately; it is not designed for, and should not be relied on by, persons without that experience. Do not rely on Veraz as a substitute for legal advice.
Privacy & data handling
How your document is handled. The document text you submit is sent, encrypted in transit, to AnchorPoint Labs servers and on to a third-party AI provider (currently Anthropic, the maker of Claude) solely to generate the review. AnchorPoint Labs does not store your document or the review results after they are returned to you. The provider processes the text under commercial API terms that do not permit using it to train the provider's models; under those terms the provider retains API inputs and outputs for a limited period (as of the date of these terms, up to approximately 30 days) to operate and secure its service, and then deletes them. Provider practices are set by the provider and may change; current practices are described in the provider's own documentation.
Confidentiality & privilege
Your responsibilities; no representation regarding privilege. Veraz is designed to be used in connection with obtaining legal advice from a qualified attorney, and its output is prepared for counsel review. Whether any submission or output is protected by attorney-client privilege or the work-product doctrine depends on facts outside AnchorPoint Labs’ control, including who you are, why you use Veraz, and how you handle the results. AnchorPoint Labs makes no representation that use of Veraz creates or preserves attorney-client privilege, work-product protection, or any duty of confidentiality. You are responsible for determining, with your counsel, whether submitting a document is consistent with your confidentiality, privacy, and professional-responsibility obligations; do not submit information you are not authorized to process, and limit distribution of inputs and outputs to counsel and personnel assisting with the legal review.
Exclude sensitive information. Before submitting a document, remove or redact sensitive information that is not needed for the review, for example personal data, account numbers, investor-identifying details, and material non-public information. You are responsible for what you submit and for acting accordingly.
AI features & data
Veraz is AI-assisted. AI output is probabilistic and may be inaccurate, incomplete, or not current, and may misread your materials; you must independently review and verify every result. To the fullest extent permitted by law, AnchorPoint Labs is not liable for any AI output or for any reliance on it.
Account, cookies & security
Account. To operate invite-only sign-in, your email address, sign-in events, session activity, and (if enabled) your two-factor enrollment are stored; two-factor secrets are encrypted. Your acceptance of these terms (version and time) is recorded to your account.
Cookies & local storage. Veraz does not use advertising or cross-site tracking cookies, and does not run product analytics. To operate, it uses a sign-in session cookie (shared across AnchorPoint Labs tools) and stores in your browser a record that you have accepted these terms. You can clear browser-stored data at any time through your browser settings.
Security. AnchorPoint Labs uses measures such as invite-only access, optional two-factor authentication, encryption in transit, and automatic session timeouts. No method of transmission or storage is completely secure, however, and no warranty of security is given. You are responsible for safeguarding your sign-in link and authenticator device.
License; availability; updates
License. Access is granted under a personal, non-transferable, revocable license; do not share your sign-in link. Veraz is provided for informational purposes only, to assist in preparing materials for counsel review.
Availability. Veraz is a beta service provided on an “as available” basis. Features may change, and access may be suspended, limited, or discontinued at any time. Veraz stores none of your documents or results, so nothing of yours is retained or lost on termination.
Updates. Veraz is updated over time; its checks and output format change between versions, and the same document may be flagged differently under a later version.
Proprietary
Veraz, its design, content, prompts, and underlying logic are the confidential and proprietary property of AnchorPoint Labs, Inc. You may not copy, reverse-engineer, redistribute, or create derivative works without written permission.
“As is”; limitation of liability; governing law
Veraz is provided “as is,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. To the fullest extent permitted by law, AnchorPoint Labs, Inc. is not liable for any direct, indirect, incidental, or consequential damages (including loss of data or lost profits) arising from your use of, or reliance on, Veraz or any output it produces. You use Veraz at your own risk. These terms are governed by the laws of the State of Illinois.
